May 27 Webcast — Calling off an M&A Deal: Legal and Damage Ramifications

In the current economic climate of declining revenue, falling profits, and disappearing credit, the parties to many merger and acquisition agreements are not consummating the deal. This webcast will address issues that Buyers, Sellers, and Lenders face in transaction termination scenarios.

The webcast will cover essential legal considerations relating to merger and acquisition contract terms, as well as recent case law addressing the interpretation of those terms. It will explore as a case study the $3 billion lawsuit relating to the Fontainebleau Las Vegas development, at the heart of which is a dispute between the developer and the lenders about the project’s $300 million credit line.

Additionally, the webcast will address potential damage issues and theories arising from a transaction related dispute, including out of pocket damages, lost investment value, and opportunity costs to other assets related to the investment.
